We offer educational products and services, some of which can be downloaded or viewed online after completing our sales process, where, after payment has been completed, the customer will be emailed a link to click on to receive the products and services. We also offer live training programs which can be bought through this website or during live events. Your purchase will be supplied via email within 72 hours, usually at once. The price paid includes all items as described on the product description page on this website: www.dennisvanderspoel.com. We have a backup helpline, telephone number +31 084 87 555 97.

Definitions

“DvdS”, the “Company”, “our” or “us” means Dennis van der Spoel B.V.

Please carefully read the following terms and conditions relating to your purchase of our products and services and/or participation in Dennis van der Spoel’s live events and online courses including the live events conducted by Dennis van der Spoel Productions (“Promoter”). By registering for an event or buying a product or service at any one of our locations (“Venue”) or online, you (the ‘Buyer”) signify your acceptance of and obligation to these terms and conditions. If you have objections to the following Terms and Conditions, you should not register for, or attend, the event or buy a product or service.

Dennis van der Spoel B.V. a Limited company registered in the Netherlands with the Chamber of Commerce under number: 67977391. It provides training, and group support to Members (‘the Member’/’you’/’your’) via its ‘Programs’ and ‘Packages’.

References to “Meeting” or “Meetings” in this Terms and Conditions are references to live training, one to one (online or offline) and Mentor sessions.


Engagement

You hereby acknowledge and agree that you have read all the terms and conditions contained in this Order Form and you agree that the Order Form together with these Terms and Conditions form a contract between you and Dennis van der Spoel B.V.


The Members

The Members of a Program are those persons who obtain access to the products and services of the corresponding Package by:

  • Signing this Agreement
  • Completing the membership application form
  • Making full payment of the Membership fees per this Agreement
  • Only persons of 18 year of age or over and who can enter into a binding agreement are eligible to become Members of a Program

Agreement

By joining as a Member of a Program you agree to be bound by this Agreement and that the contents hereof will govern your relationship with the Program. This agreement informs you of the terms and conditions applicable to your membership of the Program. Before you decide to join the Program as member it is important that you:

  • Read these terms and conditions carefully and make sure that you take special note of the cancellation and refund policy, the limitation of liability, our disclaimers, and your release contained in the Agreement
  • Retain a copy of the Agreement for your future reference
  • Make sure that you are satisfied with our privacy policy.

Making a Purchase

If you visit a Program’s page on our website, you may leave us a not via the contact form at the bottom of the page. You will be contacted via phone, skype and/or email to discuss your options and receive an offer. The transaction will be concluded online via the link we will send to you by email.

If you visit any of our Programs’ special landing pages or our online store, just browse, and add any items that you wish to buy into the shopping cart. After you have finished your selection, click on ‘Checkout’ and you will be asked for a few details that we need to be able to complete the order.

If you visit our live events, you may complete a purchase at the designated DvdS support desk at any time during the event.

Online, we accept all major debit and credit cards via our fully insured and secure PayPal gateway. If you are shopping from outside of the eurozone (euro area), your debit/credit card company will convert the transaction from euros to your own currency while charging a fee for the conversion.

During live events, we accept all major debit and credit cards via a secure (EMV / PCI DSS compliant) card reader. If the venue is outside of the eurozone (euro area), your debit/credit card company will convert the transaction from euros to your own currency while charging a fee for the conversion.

When confirmation of order is received, this is to indicate that we have received your order. It does not indicate that a contract exists between you and us. We have included this term to protect us in the case that a mistake has been made in pricing, or we are no longer able to supply a particular product or service for some reason. In the case of a change of price, we will always contact you first to ensure that the price is acceptable. In all circumstances, should we fail to supply your product or service after you have paid in full, we will reimburse you in full.


Members Conduct

Promoter requires all Members to be respectful and professional to our staff, location hosts, speakers, and other Members and their guests or families throughout the live events, even during non-scheduled downtime and breaks. Promoter reserves the right to ask Member and /or their guests to leave the conference room and Venue at once should they be deemed rude, uncooperative, unprofessional, intoxicated or in possession of alcohol or any illegal substance. In such case, the Member’s tuition/fees for the live event will not be reimbursed under any circumstances and they will not receive any of our advertised bonuses or qualify for our satisfaction guarantee or any other written or implied guarantee.


Intellectual Property and Copyright

All material provided to you by the Program is owned by the Company and is protected by copyright.

Any intellectual property rights in the material and content supplied as part of your membership of the Program shall remain the property of the Company

You may not reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content provided by the Program, except with the consent in writing of the Company. Any other use of the material and content is strictly prohibited. The Member agrees not to (and agrees not to assist or facilitate any third party to) copy, reproduce, transmit, publish, display, distribute, commercially exploit or create derivative works from such material and content.

The Member agrees to use all information contained and presented in the meetings of Members only for the purposes of self-improvement.

The Member may not record any meeting or any part thereof.

Copyright in the documents available for sale and/or download from this website (“Documents”) is also owned and controlled by us unless we expressly state otherwise. This means that you are not authorized to reproduce, distribute, publish or sell any Document to any third party nor can you use any Document in whole or in part or adapt it to create another document for use by any third party and pass it off as your own.

However, you may use the Documents for the intended use which is for personal or business reasons, inserting additional information as required to suit your own circumstances. You may use any Document as many times as you wish subject to these Terms and Conditions. The Documents have been drafted to a high standard with every care in ensuring the accuracy and effectiveness of their content. You will appreciate that the Documents may need to be amended from time to time to reflect any changes in practice and procedure therefore it is advisable to check the website regularly for updates or any new Documents that may be relevant to you.


Liability Waiver

You alone are responsible and accountable for your decisions, actions and results in life, and by registering for our Programs or buying our products and services, you agree not to attempt to hold us liable for any such decisions, actions, or results, at any time, under any circumstance. You agree that our company is not responsible for the success or failure of your business decisions relating to any information presented by our company, or our company products or services, and you specifically release Promoter, Dennis van der Spoel, or our representatives or contractors from liability for any special or consequential damages that result from the use of, or the inability to use, the information or strategies communicated through our Programs, materials, websites, or any products and services provided prior to or following this program, even if advised of the possibility of such damages or caused by negligence of the Promoter or its representatives. Member hereby accepts all risk to his or her business and health excluding personal injury or death that may result from the Promoter’s negligence whilst the Member has been participating in the Program.

Limitation of liability

Notwithstanding any other provision in this Agreement, nothing will limit your statutory rights; or will exclude or limit Dennis van der Spoel B.V.’s liability for:

     i.             Death or personal injury resulting from negligence

    ii.             Fraud or fraudulent misrepresentation

   iii.             Any matter for which it would be unlawful for the Program to exclude or attempt to exclude its liability

The Company will not be liable, in contract or tort in respect of pre-contract or other representations (other than fraudulent or negligent misrepresentations) or otherwise for:

  • Any economic losses (including without limitation loss of revenues, profits, contracts, business, or anticipated savings)
  • Any loss of goodwill or reputation; or
  • Any special or indirect losses; or
  • Wasted management or office time; or
  • Any other loss or damage of any kind suffered as a result of or incurred arising out of or in connection with the provision of the Services in terms of this Agreement, even if such losses are foreseeable or result from a breach by the Company or as a result of any action we have taken in response to any breach by the Buyer.

The Buyer hereby releases and hold the Program, its agents, representatives, and employees harmless from all liability (except for gross negligence) resulting from:

  • The training and/or any part of the training in which the Member voluntarily participates
  • Any negligent acts or omissions
  • Actions
  • Damages
  • Proceedings
  • Claims
  • Costs
  • Demands

Shipping and Handling

If you have bought online, you will receive an acknowledgement email with 24 hours of purchase and a receipt/invoice will be attached or mailed separately at the same time.

If you have bought during a live event, you will receive acknowledgement and a receipt at your time of purchase. An invoice will be mailed to you separately within 72 hours.

Online content will be made available within 24 hours after purchase, usually with several minutes. You will receive an email with your username and password (if applicable), as well as a link to the relevant content. You will have indefinite and unlimited access to non-downloadable content until one year after it is retired from our portfolio. You will receive due notice of retiring products and services. Links to downloadable content remain operational for a limited time after purchase. Should you experience any difficulty during or after the downloading process, then please contact our Office on +31 84 8755597 or email us via the contact page on our website. We will respond within 24 hours. If you forget your login details, either reset your password online or contact us via the contact page on our website. We will respond within 24 hours. Should in any event the downloadable links be faulty, then we will email any purchased products directly to the customer.

Physical products will be shipped to you within 72 hours after purchase, but usually sooner. Any purchases of items such as DVD sets, books, and other promotional or training materials will be dispatched by registered mail on receipt of your order (proof of postage is always obtained). Your shipment can be tracked by contacting us for the tracking code, which can then be entered on the parcel service provider’s website. If your item is not in stock, we will back order for you. You will always be emailed with the option to cancel your order if you would rather not wait.

The reference number supplied in the acknowledgement is the customers confirmation of a secured seat in the forthcoming relevant live event. Location and times will be provided by email. It is the Member’s responsibility to show up on time and participate zealously.


Prices and Tax Charges

Prices are quoted are in euros and are exclusive of VAT/Sales Tax, unless otherwise noted.

For orders made from the Netherlands, 21% VAT is added.

For orders made from outside the Netherlands, but from within the European Union, 21% VAT is added, unless valid EU tax registration details are provided.

All other online orders are VAT free. Products and services bought during live events outside the EU may be subject to local sales tax. Please ask our local representative for more details.


Travel costs, accommodation, meals, and refreshments

Note that most live events are not residential and do not include transportation, accommodation, or food and beverages. All costs of travel to and from meetings and the costs of refreshments, meals and accommodation are excluded from the Membership fees and are payable in full by the Member, unless otherwise stated. 

If and when meals and/or refreshments are provided at our events; Dennis van der Spoel B.V. take no responsibility for special dietary or allergic requirements if we have not been notified in advance in writing of these.

Investment and Payment

You must pay to Dennis van der Spoel B.V. in consideration of the products and/or services offered:

  1. The fee specified in the Order Form in one lump sum without set off, deduction or counterclaim; or
  2. If we have agreed that you may pay by Installment, you must pay each Installment without deduction on the Installment Payment Date required by us and as set out in the Order Form.

Payments made under this agreement must be made by the means specified in the Order.


Payment Terms

These are generally “pay in full” prior to the live event or delivery of products and services.

We offer 3- and 6-month instalment plans for our most exclusive packages, while a discount is offered for one off payments. All other products and services are always paid in full as soon as they are ordered.

The overall price must be paid including any final instalment before any live event. If you are paying by instalment then the event you are booking must be sufficiently far ahead for all the instalment payments to have been made in advance of the event. All monies must be paid 6 clear days before attending an event.


Consequences of Failure to Pay

If you fail to pay an Installment Sum by the Installment Payment Date for that Sum then ALL monies owing by you (which includes the full membership and Program fee set out in the Order Form) shall become due and owing and must be immediately paid to us without set off or deduction or counterclaim and without need for any further demand.

If Payments are not made by the due dates, your membership may be cancelled and no refund or credit will be given. If payment is not made within the time limits set out above, this will be a breach of contract by the client entitling Dennis van der Spoel B.V. to treat the contract as at an end, and reallocate the products, services, bookings and/or tickets without notice to the client.

In the event of Dennis van der Spoel B.V. treating the contracts as at an end, Dennis van der Spoel B.V. shall be entitled to retain all sums already paid by the client, and the balance due shall become immediately payable by the client to Dennis van der Spoel B.V. This is without prejudice to Dennis van der Spoel B.V.’s rights to claim damages from the client in respect of any loss suffered by Dennis van der Spoel B.V.


Credit Card Security

When the order is placed at our website, credit card numbers are encrypted using 128-bit encryption. They are only decrypted after they reach our computer. They are not held in clear text on any web site.


Cancellation and Refund Policy

This agreement shall be voided if you tell us in writing, within ten (10) working days of signing the Order Form, that you no longer wish to receive our Services and/or products by delivering or sending (including by electronic mail) a cancellation notice to Dennis van der Spoel B.V. In those circumstances only Dennis van der Spoel B.V. will refund to you all monies or part thereof, which you have paid to us under this agreement within thirty (30) business days of receipt of such cancellation notice.

You further acknowledge and agree that outside of the ten (10) working days cooling-off period; if, at any time or for whatever reason, you decide you do not wish to receive the products and/or services from Dennis van der Spoel B.V., you will not be eligible for a refund of any monies you have paid to us under this agreement and the balance of the fees set out in the Order Form will become due immediately and payable by you.

Once the Buyer registers for a live event, Promoter makes extensive arrangements and investments while anticipating their tuition and attendance, and, in the case of their cancellation, incurs significant administration hassles, expenses, and loss of business. Given this fact, we do not accept cancellations or issue refunds beginning 14 days after purchase and/or 14 days before the start of the live event the Buyer has enrolled in, whichever comes first.

We allow a returns policy for goods within 14 days of purchase date where a full refund will be given to the customer (except for digital downloads). We do not charge a re-stocking fee but do ask for a reason for the return and provide a help line number through our office on 084 87 555 97 (International +31 84 87 555 97) for any questions. If an Order is cancelled, you will be contacted at once by our office who will describe the process for the return of goods. All goods must be returned in the condition that they were received. Any delivery costs incurred for the return of goods to our office will be the customers responsibility, goods should be returned to the following address:

Warranty and Returns Policy

We guarantee the quality of all our products, if any products are found to be faulty please return them to us immediately and we either:
1) Send replacement goods or
2) Offer a full money back guarantee.
NB. The warranty lasts for 30 days from the date of purchase.

All goods must be returned in the condition that they were received. Any delivery costs incurred for the return of goods to our office will be the customers responsibility, goods should be returned to the following address:

Your returns notice must contain your full name, address and contact numbers, as well as our order number. You should send your returns notices, as well as any other notices you wish to send for purposes of any term of this Agreement, to the address above or via the contact page on our website.

Your rights to return goods are protected under the EU Distance Selling Directive which can be found at http://ec.europa.eu/consumers/consumer_rights/rights-contracts/index_en.htm.  


Satisfaction Guarantee

To make use of the satisfaction guarantee once the cancellation period (cooling-off period) has passed for live events and online courses, you must first attend the live event or participate in the online course you ordered.

If having attended a live event and at the end of day one you are not 100% satisfied, you may request a refund. Such a request must be made by you in writing and received by Dennis van der Spoel B.V. prior to the commencement of day 2 of the live event. Let one of our agents at the event’s support desk assist you with the correct Satisfaction Guarantee Request Form. If you attend any subsequent day of the event this has the effect of cancelling your request for any refund.

If having participated in an online course and at the end of lesson one you are not 100% satisfied you may request a refund. Such a request must be made by you in writing (email) and received by Dennis van der Spoel B.V. prior to the commencement of lesson 2 of the course. If you open any subsequent lessons of the course this has the effect of cancelling your request for any refund.


Variations

Your chosen date must be confirmed and attendance registered within 14 days of purchase of a live event; after this time, your ticket is void. Once your date is registered your ticket is non-transferable and non-refundable. Under certain reasonable circumstances, a request to change the date or attendee once will be considered by Dennis van der Spoel B.V., and if agreed will be subject to a €75.00 administration fee (plus VAT) payable at once.

All variations are subject to availability, and at the discretion of Dennis van der Spoel B.V.

Please note that if you do not attend an agreed session “without reasonable explanation” that session will be forfeited by you and will not be replaced.

The Company reserves the right to make changes to these terms and conditions, which regulate the basis for Membership of the Program, as may be required. Should the Company make any such changes it will advise you and you will have the right to terminate your membership of the Program within seven (7) days from date of the notice of change, should you not wish to accept the changes. In this event you will not be liable for further membership fees, which fall due after the effective date of a correct notice of cancellation has been received by the Program.


Alterations to advertised packages

All advertised packages are subject to availability.

Every reasonable effort will be made to adhere to the advertised packages but any packages may be altered and/or dates may be changed, either before or after confirmation of the booking. Where such alterations, omissions, or changes occur prior to the confirmation of the booking, Dennis van der Spoel B.V. accepts no contractual liability. Where such alterations, omissions, or changes occur after confirmation of the booking, Dennis van der Spoel B.V. agrees to use endeavors as it considers to be reasonable to make alternative packages available.


Change of speakers and/or mentors

Note that Dennis van der Spoel himself does not necessarily present at every event. We will, however, always offer a fully trained speaker from the relevant Program.

Speakers, coaches, trainers, and mentors may be subject to change or cancellation at any time without prior notification. However, we will always provide a replacement of equal standing.


Location of meetings

The Company and its Promoter reserve the right to move any meeting or live event to another venue within a 25-mile (40-kilometer) radius of the originally named venue on giving not less than 48 hours’ notice to the Member.


Cancellation of meetings by the Program

Should a Membership meeting or live event be cancelled or withdrawn due to circumstances beyond the Program’s control, the Member will be informed thereof with 24 hours’ notice.

A cancelled meeting or live event will be rescheduled at the earliest opportunity and the Members will be given 72 hours’ notice of the details of the new meeting or event.

No refund of membership fees or reduction of membership fees will be due to the Member where a meeting or event had to be rescheduled.


Severability

If any provision of this Agreement is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions in this Agreement and the remainder of the provision in question will not be affected and shall remain of full force and effect.


Non-waiver

Should the Company at any time fail to insist upon strict performance of any of your obligations under this Agreement, or fail to exercise any of the rights or remedies to which the Company is entitled under this Agreement, it shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with your obligations. No waiver by the Company shall be effective unless it is expressly stated to be a waiver and is in writing.


Governing law and jurisdiction

These terms and conditions will be governed by the laws of the Netherlands and you irrevocably agree to submit to the exclusive jurisdiction of the courts of the Netherlands.


Non-representation

You acknowledge that you have not relied upon or been induced to enter into this Agreement by any representation other than a representation expressly set out in this Agreement, and the Company shall not be liable to you, in contract or tort, in any other way for any representation not expressly set out in this Agreement. Provided that nothing in this Agreement shall affect the Company’s liability in respect of any fraudulent misrepresentation.


Whole agreement

This Agreement, together with the Program’s information and the Package’s schedule, sets out the entire understanding between you and the Program in relation to the matters concerning Membership of the Program and no other agreements or understandings, not contained herein, shall be relied upon by you.


Complaints handling

Should you have a problem or complaint; we want to know. Most problems can be dealt with by sending a letter to the address for notices given above. The Company will endeavor to investigate all complaints and respond as quickly as possible. The Company will acknowledge receipt and confirm the timescales for a full response when a complaint is received.


Dispute resolution

If any dispute arises between the Company and you then we agree to attempt to settle it by mediation. We both remain entitled to seek resolution of any contractual dispute in any court or tribunal without having to undergo a mediation process.


Force Majeure

If the Company is prevented or impeded from performing any of its obligations as a result of an event over which the Program has no control (‘Force Majeure’) it shall promptly give notice to you stating the circumstances consisting of such event of Force Majeure and the extent and likely duration whereupon such obligations shall be suspended for as long as the event of Force Majeure continues.

If the Company is affected by an event of Force Majeure, it shall make every reasonable effort to minimize the effects thereof and shall promptly resume performance as soon as reasonably possible after removal of the event of Force Majeure.

Where the period of non-performance in relation to any event of Force Majeure exceeds 30 Days from the date of notice of such event of Force Majeure then you or the Company may by written notice terminate this Agreement forthwith.
